Chapter 4 - The Audit at Sunrise

At 7:00 on Thursday morning, the executive boardroom of Reed Infrastructure Group on the thirty-second floor of One International Place was convened for an extraordinary emergency session.

Outside the panoramic windows, the sun rose over Boston Harbor in a blinding flash of cold gold, casting long, sharp shadows across the sixty-foot mahogany conference table.

Seated around the table were twelve senior partners, four institutional lenders from State Street Capital, and Richard Rowe—Ethan’s fifty-year-old former brother-in-law and the senior minority shareholder who controlled thirty percent of the firm’s common equity.

Rowe was dressed in a bespoke navy three-piece suit, an unlit Havana cigar between his fingers, holding court with the bankers while tapping his gold Montblanc pen against a red-tabbed corporate filing.

"Ethan’s personal crisis has incapacitated his executive function, gentlemen," Rowe was announcing smoothly, his voice carrying that practiced, patrician resonance that had convinced three municipal utility boards to award contracts to his private shells. "His daughter is hospitalized with an intracranial mass; he failed to appear at the Berkshire debt consolidation closing yesterday; and our commercial credit facility with First Manhattan expires at noon. Under Section 14 of the corporate bylaws, I am calling for an immediate vote of executive receivership to assume full operational command."

The double doors of carved English oak were suddenly thrown open with a violent, concussive bang.

The twelve directors sprang to their feet in unison.

Walking into the boardroom was Arthur Ross.

At seventy-four years old, senior managing partner of Ross & Sterling International Legal, Arthur was the supreme corporate litigator who had guarded the Reed dynasty through thirty years of industrial takeovers. He wore his bespoke charcoal tweed three-piece suit, his gold-rimmed spectacles glinting in the morning light, his posture straight as an iron spar.

Flanking him were Chief Forensic Auditor David Sterling and Lead Special Agent Sarah Lin of the Federal Bureau of Investigation, accompanied by four armed federal marshals in dark tactical windbreakers.

Richard Rowe’s patrician smile vanished instantly. His fountain pen slipped from his fingers, rolling across the mahogany table before clattering to the floor.

"Arthur...?" Rowe stammered, his breath catching in his throat. "What... what is the meaning of this theatrical disruption? This is a private executive board meeting—"

"The only executive meeting taking place today, Richard," Arthur Ross announced, his dry, cultured baritone filling the vast room with the finality of an executioner reading a docket, "is your formal federal arraignment."

Arthur Ross stepped to the center of the table, dropping an unsealed, gold-embossed leather portfolio directly onto the linen blotter right beside Rowe’s plate.

"Richard Rowe," Arthur said, each word falling like lead onto stone. "You are formally served with federal grand jury indictments returned ninety minutes ago under Cause Number 26-CR-9941."

Rowe scrambled backward against the cedar wainscoting, his hands trembling violently. "On what charges? This is an internal corporate governance dispute—"

"Forty-eight counts of federal enterprise racketeering under the RICO Act, grand corporate fraud, interstate wire fraud, and the felonious embezzlement of forty-two million dollars from the Berkshire Clean Energy Escrow," Special Agent Sarah Lin stated with clinical detachment.

David Sterling stepped forward, rotating an encrypted Panasonic Toughbook toward the twelve frozen board directors:

PRIMARY ASSET DIVERSION: $42,150,000.00 TRANSFERRED TO 'ROWE CAPITAL HOLDINGS' (CAYMAN ISLANDS)

SECONDARY FRAUD: FALSIFIED DEBT COVENANTS DESIGNED TO TRIGGER ARTIFICIAL MARGIN CALLS ON ETHAN REED'S PERSONAL SHARES

PRIMARY ARCHITECT: RICHARD ROWE (30% SHAREHOLDER).

"You didn't call an emergency meeting to protect this company, Richard," Arthur Ross revealed, his blue eyes flashing with ancient, unforgiving fury. "You manufactured the debt crisis while Ethan was sleeping in a hospital chair beside his sick daughter. You planned to execute an artificial receivership, seize Ethan’s forty-eight-percent voting bloc, and sell our deepwater renewable energy patents to an unlisted private equity group in Zurich for eighty million dollars cash."

Director Henderson—an eighty-year-old utility patriarch who had known Ethan’s father for forty years—stood up from the table, his face flushed with righteous, trembling rage.

"You tried to steal this company from a grieving father while his child was under a scanner, Richard?" Henderson roared, his fist slamming onto the mahogany with enough force to jump the water carafes. "Security! Get this thief out of our building!"

Two federal marshals in tactical windbreakers stepped forward, unholstering heavy stainless-steel handcuffs.

"Stand up, Mr. Rowe. Place your hands behind your back."

CLICK. CLICK.

As the steel ratchets locked over Rowe’s wrists over his bespoke cuffs, his screams of ruined vanity echoed down the executive corridors of the thirty-second floor, through the private elevators, and out onto LaSalle Street as the conspirators were hauled away into the dark.

Arthur Ross picked up his master legal ledger, closed the brass clasp with a sharp thud, and looked at the eleven remaining directors.

"Ethan Reed is currently at Boston Children's Hospital preparing for his daughter's neurosurgery," Arthur announced quietly. "The board is adjourned until Monday. And any man in this room who questions Ethan Reed's authority will answer directly to the United States District Court."
